HistoryWise.io - Terms of Service

1. Acceptance of Terms

By accessing or using the historywise.io application (the "Service"), operated by Collin & Company, LLC ("HistoryWise," "we," "us," or "our"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

HistoryWise.io is a business event management and reporting application designed to allow users to create, manage, and organize information related to events that happen within or around their business. These "events" encompass a wide range of occurrences, including but not limited to:

• World Event Tracking: Monitoring external events such as stock market fluctuations and commodity price changes (e.g., gold, silver).
• Third-Party Event and Incident Tracking: Monitoring events and incidents related to third-party services your business integrates with (e.g., software releases, service outages).
• Business Incident and Event Management: Tracking internal business activities (e.g., new employee hires, press releases, website page additions, code deployments, promotional campaigns).
• Advanced Reporting through Filtered Snapshots: Generating time-based reports ("snapshots") that provide detailed insights into business activities and external events during specific periods.
• Other Services: Additional features and functionalities as may be offered by the Service from time to time.

3. User Accounts

3.1. Account Creation

You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.

3.2. Account Security

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.

3.3. User Responsibility for Data

You are solely responsible for all data, information, and content ("User Content") that you input, upload, transmit, or otherwise make available through the Service. You represent and warrant that you have all necessary rights and permissions to provide User Content and that it does not violate any third-party rights or applicable laws.

4. Use of the Service

4.1. Acceptable Use

You agree to use the Service in compliance with these Terms and all applicable laws and regulations. You will not:

• Use the Service for any illegal or unauthorized purpose.
• Interfere with or disrupt the operation of the Service or the servers and networks connected to it.
• Attempt to gain unauthorized access to any portion of the Service or any other user's account.
• Transmit any viruses, malware, or other harmful code.
• Engage in any activity that could damage, disable, overburden, or impair the Service.
• Collect or harvest any personally identifiable information from other users without their consent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

4.2. Service Modifications and Termination

HistoryWise reserves the right to modify, suspend, or terminate the Service (or any part thereof) at any time, with or without notice. We will not be liable for any modification, suspension, or termination of the Service.

5. Intellectual Property

5.1. HistoryWise IP

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of HistoryWise and its licensors.

5.2. User Content License

By submitting User Content to the Service, you grant HistoryWise a non-exclusive, worldwide, royalty-free, transferable, sub-licensable license to access, use, reproduce, process, display, distribute, and modify your User Content solely for the purpose of providing and improving the Service and as otherwise described in our Data Usage Policy.

6. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. HistoryWise does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, HistoryWise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your access to or use of the Service. HistoryWise's total liability for all claims shall not exceed the amount you paid, if any, in the twelve (12) months preceding the event giving rise to the liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless HistoryWise and its affiliates from any claims, liabilities, damages, losses, costs, expenses, or fees arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Maine. Any disputes shall be resolved exclusively in the state or federal courts located in York County, Maine.

10. Entire Agreement

These Terms constitute the entire agreement between you and HistoryWise regarding the Service and supersede all prior agreements and understandings.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after any changes indicates your acceptance of the new Terms.
